SCOPE OF WORK

Welcome to The Glow Collective! This is a collaboration between you and Tata’s Natural Alchemy, LLC d/b/a Tata Harper Skincare and we can't wait to see you shouting loud! As a Tata Harper Skincare advocate, you'll play a crucial role in championing our products/services and helping us reach new heights. Here's what we expect from you:

Scope of Work

Each task rewards you with points which enable you to level up through each tier of the program. Each time you level up you will unlock bigger and better rewards and exclusive community perks, so don’t forget to continually share the Tata Harper Skincare love!

Content Expectations

When posting on social media, you must include: tags to all relevant Tata Harper Skincare channels (@tataharperskincare) brand hashtags #TheGlowCollective and #TataHarper_Partner at the beginning of each caption imagery that is respectful and appropriate for all audiences. FTC required disclosures, including simple, clear, concise, and conspicuous disclosures that indicate to your followers your material connection to Tata Harper Skincare, including that your content is sponsored and that you are a paid influencer. You acknowledge and understand that social media platform tools alone are not sufficient to comply with disclosures required by applicable law. Tata Harper Skincare reserves the right, in its sole discretion, to require you to change or alter the form and manner of disclosures in accordance with applicable laws.

When posting on social media, you must not include: references to products/services from any other brands. mentions, images or references to any offensive, harmful, or illegal content. degenerative or defamatory comments towards competitors, employees, social personalities or religious characters. offensive comments that have the purpose or effect of creating an intimidating or hostile environment or promoting bigotry, racism, or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age promotion of unsafe activities that could lead to an unsafe situation involving Tata Harper Skincare’s consumers or other individuals. content that infringes on the intellectual property rights or privacy or publicity of any third party. content that misrepresents your relationship to Tata Harper and the applicable products being promoted. content that disparages Tata Harper Skincare. content that violates any applicable law.

As a member of The Glow Collective, you are agreeing that any content you submit to the program may be used and re-purposed by Tata Harper Skincare for promotional, marketing and advertising purposes, both online and offline, without any compensation beyond the benefits provided as part of The Glow Collective.

Wherever possible, Tata Harper Skincare, will credit you as the creator of the content by using your social media handle, name or username. However, due to technical limitations or space constraints, explicit attribution may not always be possible.

Termination You or Tata Harper Skincare are able to delete your Glow Collective account at any time. Your partnership may be terminated by Tata Harper Skincare if: Your account is inactive for a period of 6 months or longer. You sell, transfer, license or assign your rewards, account, submissions, reward credits, loyalty points or any account rights (or attempt to do any of the same) to anyone other than yourself. You fail to meet the program expectations, which may include but is not limited to: posting or submitting content that is of low quality. posting or submitting content that doesn’t adhere to our Tata Harper Skincare guidelines. posting or submitting content that doesn’t meet the terms outlined in the Scope of Work.

Representations and Warranties You represent and warrant that (a) you have read this Scope of Work in its entirety, have had an adequate opportunity to consult with legal counsel regarding this Scope of Work, and fully understand the meaning and effect of this Scope of Work; (b) you are over 18 years of age; (c) you have the right to enter into this Scope of Work and have no conflicting commitments or obligations that would interfere with your ability to complete the tasks laid out and the rights herein granted; (d) you are duly authorized to grant the rights herein on your own behalf, and are under no obligation to any third party that would interfere with Tata Harper’s full and beneficial use of such rights; and (e) you are not currently in breach or default of any provision of this Scope of Work. You acknowledge that Tata Harper is not a signatory to any guild or union agreement covering your services and that the services to be rendered by you pursuant to this Scope of Work are not subject to any guild or union agreement.

General Terms You shall indemnify, defend and hold harmless Tata Harper Skincare (and its affiliates, representatives, agents, directors, officers, and employees) from and against any claim arising out of any breach by you of any provision, representation or warranty contained in this Scope of Work. IN NO EVENT WILL TATA HARPER SKINCARE BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR INDIRECT DAMAGES ARISING FROM OR RELATING TO ANY BREACH OF THIS SCOPE OF WORK, REGARDLESS OF ANY NOTICE OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING THE FOREGOING, NOTHING IN THIS SECTION IS INTENDED TO LIMIT OR RESTRICT THE INDEMNIFICATION RIGHTS OR OBLIGATIONS OF ANY PARTY UNDER THIS SCOPE OF WORK. This Scope of Work shall be governed by the laws of the State of New York without regard to any conflict of laws principles. Any legal action brought by a party shall be brought solely and exclusively in the state and federal courts located in New York, New York. The parties to this Scope of Work are independent contractors. There is no relationship of partnership, joint venture, employment, franchise or agency created between the parties. Neither party will have the power to bind the other or incur obligations on the other party’s behalf without the other party’s prior written consent. This Scope of Work is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Scope of Work. No supplement, modification, or amendment of this Scope of Work shall be binding, unless executed in writing by a duly authorized representative of each party. These terms and conditions shall supersede and govern all other agreements between the parties, and shall prevail and control unless the conflicting provision in such agreement expressly states that it supersedes this Scope of Work pursuant to this section. No waiver will be implied from conduct or failure to enforce or exercise rights under this Scope of Work. All waivers shall be in writing and signed by a duly authorized representative on behalf of the party waiving the rights. If any portion of this Scope of Work is found to be unenforceable, the remaining provisions of this Scope of Work will remain in full force. Any provisions of this Scope of Work that by their terms and nature are intended to survive any expiration or termination of this Scope of Work, shall survive such expiration or termination.
